Terms of Service

These Terms of Service ("Terms") govern your access to and use of Shaker ("Platform", "we", "our", "us"), available at shakerapp.ai. By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old to use Shaker. By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Description of Services

Shaker provides an AI-powered application and website builder that includes:

• AI-assisted code generation (frontend, backend, mobile applications)
• Design tools (logo creation, brand kits, presentations, business plans, video reels)
• Hosting and deployment of generated projects on Shaker infrastructure
• Domain management services

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us at support@shakerapp.ai if you suspect unauthorised access to your account. We are not liable for any loss arising from your failure to protect your credentials.

You agree to provide accurate, current, and complete information during registration and to keep such information updated.

4. Subscriptions and Payments

Access to premium features requires a paid subscription. All payments are processed by Paddle.com, our authorised Merchant of Record. Paddle collects and processes payments on our behalf and handles applicable taxes.

• Subscriptions renew automatically at the end of each billing period.
• You authorise us to charge your payment method on a recurring basis.
• Price changes will be communicated at least 14 days in advance.
• All prices are in USD and exclusive of taxes unless stated otherwise.

Hosting plans are billed separately from AI platform subscriptions. You may cancel either independently.

5. Free Plan and Trial Credits

Users on the Free plan receive a limited number of trial credits upon registration. Free plan usage is subject to the following restrictions:

• One AI generation attempt per account (preview mode only)
• No source code export
• No project publication or hosting
• No access to Tools (/tools) — requires an active paid subscription
• Generated previews may include a Shaker watermark

We reserve the right to modify the Free plan limits at any time.

6. AI-Generated Content Disclaimer

The Platform uses large language models (LLMs) and other AI systems to generate code, designs, text, images, and other content. You acknowledge and agree that:

• AI-generated output may contain errors, bugs, security vulnerabilities, or inaccuracies.
• We do not guarantee that generated code is fit for any particular purpose.
• You are solely responsible for reviewing, testing, and validating all generated content before deployment or commercial use.
• We are not responsible for any loss, damage, or liability arising from your use of AI-generated content in production environments.
• AI-generated business plans, financial models, and projections are for informational purposes only and do not constitute financial, legal, or investment advice.

7. Intellectual Property

Your Content: You retain ownership of all source code, designs, and other content generated through the Platform on your behalf, subject to payment of applicable fees. You grant us a limited, non-exclusive licence to process and display your content solely to provide the Service.

Platform IP: Shaker, including its software, interfaces, prompts, algorithms, and design system, is our proprietary intellectual property. You may not copy, reverse engineer, or create derivative works based on the Platform itself.

Third-Party Content: AI models may generate content that resembles existing works. We do not warrant that generated content is free from third-party intellectual property claims. You assume all responsibility for IP compliance in your use of generated output.

8. Acceptable Use Policy

You agree not to use the Platform to:

• Generate, store, or distribute illegal, harmful, hateful, or defamatory content
• Create malware, spyware, ransomware, phishing tools, or other malicious software
• Violate the intellectual property rights of any third party
• Engage in automated scraping, crawling, or data harvesting of the Platform
• Attempt to bypass security controls, rate limits, or billing systems
• Resell or sublicence access to the Platform without our written consent
• Use AI generation capabilities to generate spam or mass unsolicited communications
• Impersonate any person or entity, or misrepresent your affiliation
• Violate any applicable law or regulation

Violation of this policy may result in immediate account suspension without refund.

9. Hosting Services

When you use Shaker hosting services to publish your projects, the following terms apply:

• Hosting is subject to resource limits defined in your hosting plan.
• We do not guarantee 100% uptime. Planned maintenance may occur with prior notice.
• You are responsible for the content hosted on your projects and its compliance with law.
• We may suspend hosting immediately if your content violates this Agreement or applicable law.
• Data backups are the user's responsibility unless included in your hosting plan.
• We are not liable for data loss resulting from infrastructure failures, cyberattacks, or third-party provider outages.
• Bandwidth overages beyond plan limits may incur additional charges as specified in the pricing schedule.

10. Data Collection and Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform you consent to the collection and processing of your data as described therein.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHAKER AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. We reserve the right to suspend or terminate your account immediately for violation of these Terms, non-payment, or at our discretion with reasonable notice.

Upon termination, your access to the Platform will cease. Hosted projects will be taken offline. We will retain your data for up to 30 days, after which it may be permanently deleted.

14. Indemnification

You agree to indemnify, defend, and hold harmless Shaker and its affiliates from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content you generate, publish, or host using the Platform.

15. Changes to Terms

We may update these Terms at any time. When we make material changes, we will notify you by email or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction. Any dispute that cannot be resolved amicably shall be submitted to binding arbitration or the courts of competent jurisdiction, as applicable.
